Terms of Service

1. Description of Service

Vorstead is an AI-powered advertising management platform designed for trades contractors (HVAC, roofing, plumbing, electrical, and similar industries). We manage your Meta and Google ad campaigns, provide a CRM for lead management, and deliver performance reporting — all optimized daily by our AI systems.

2. Account Terms

• One Vorstead account per business entity. Multiple users may be added to a single account.
• You must provide accurate and complete business information during onboarding.
• You are responsible for maintaining the security of your account credentials.
• You must be at least 18 years old and authorized to enter into agreements on behalf of your business.

3. Payment Terms

• Vorstead charges a setup fee and a monthly management retainer, billed on the 1st of each month.
• Ad spend is separate and goes directly to Meta and/or Google. It is billed to your payment method on file with those platforms.
• Setup fees are due before work begins. Monthly fees are due on the invoice date.
• We accept credit card, ACH bank transfer, and check payments.
• Late payments may result in campaign pausing after a 7-day grace period.

4. Service Level

We optimize your campaigns daily using AI-driven analysis and manual oversight. While we work diligently to maximize your lead volume and minimize cost per lead, results are not guaranteed as they depend on factors including market conditions, competition, ad platform policies, and your service area. We offer a 90-day performance guarantee — if we do not hit the lead volume KPIs agreed upon during onboarding, you may cancel without penalty.

5. Minimum Commitment

• Growth Engine (Tier 1) — 6-month minimum commitment.
• Full Stack Partner (Tier 2) — 12-month minimum commitment.

After the minimum commitment period, your plan continues month-to-month at the same rate.

6. Cancellation

After your minimum commitment period, you may cancel with 30 days written notice. Upon cancellation, we will gracefully wind down your campaigns, export your data, and ensure a smooth transition. Campaigns will remain active during the notice period. No cancellation fees apply after the minimum commitment.

7. Data Ownership

You own all of your data, including business information, lead data, ad accounts, and creative assets. Ad accounts are created in your name and remain yours if you leave. We will provide a full data export upon request at any time.

8. Limitation of Liability

To the maximum extent permitted by law, Vorstead's total liability for any claims arising from or related to the service shall not exceed the total fees paid by you in the 3 months preceding the claim. Vorstead is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or loss of business opportunities.

9. Non-Solicitation

During the term of service and for 12 months following termination, both parties agree not to directly solicit or hire employees or contractors of the other party who were involved in delivering or receiving services under this agreement.

10. Changes to Terms

We may update these terms from time to time. We will provide at least 30 days notice of any material changes via email or through the Vorstead dashboard. Continued use of the service after the notice period constitutes acceptance of the updated terms.
